GSD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

## 7. Limitation of Liability

IN NO EVENT SHALL GSD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless GSD, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

## 9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Kazakhstan without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts located in Astana, Kazakhstan, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

## 10. Dispute Resolution

### 10.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, you and GSD agree to first attempt to resolve such dispute informally.

### 10.2 Arbitration

If such dispute cannot be resolved informally, both parties agree to resolve such dispute through binding arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The seat of arbitration shall be Astana, Kazakhstan. The language of the arbitration shall be English.

### 10.3 Exceptions

Notwithstanding the foregoing, nothing in these Terms will preclude either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

## 11. Termination

We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms or is harmful to the interests of another user, a third-party, or us.

## 12. Miscellaneous Provisions

### 12.1 Entire Agreement

These Terms constitute the entire agreement between you and GSD regarding the Services and supersede all prior and contemporaneous written or oral agreements between you and GSD.

### 12.2 Waiver

No waiver by GSD of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of GSD to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

### 12.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

### 12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without GSD's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. GSD may freely assign or transfer these Terms without restriction.

### 12.5 Force Majeure

GSD shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by factors beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, riots, labor conditions, governmental actions, and Internet disturbances.
